Terms of Service

Last updated: July 2, 2026

1. Agreement to these terms

These Terms of Service (“Terms”) govern your access to and use of Qixeo Invoice (the “Service”, “app”), a Shopify application operated by Qixeo (“Qixeo”, “we”, “us”). By installing, accessing, or using the Service, you (“merchant”, “you”) agree to be bound by these Terms. If you do not agree, do not install or use the Service.

Your use of the Service is also subject to Shopify’s own terms, including the Shopify API License and Terms of Use. These Terms supplement, and do not replace, your agreements with Shopify.

2. The Service

Qixeo Invoice generates customer-facing invoices for partial fulfillments of Shopify orders, allocating taxes, discounts, and shipping proportionally across shipments. Depending on your plan, the Service may also provide packing slips, credit notes, e-invoice XML (PEPPOL / UBL / CII / XRechnung), customer statements of account, scheduled batch delivery, cloud storage upload, QuickBooks Online sync, Shopify Flow triggers and actions, and a customer-facing order status page.

We may add, modify, or remove features at any time. We will make reasonable efforts to notify active merchants of material changes that reduce core functionality.

3. Eligibility and accounts

4. Plans, billing, and trials

5. Merchant responsibilities

6. Acceptable use

You agree not to:

7. Third-party services

The Service integrates with third-party services that you may choose to enable, including Shopify, Resend (email delivery), Google Drive and SFTP (cloud upload), QuickBooks Online (accounting sync), and Shopify Flow. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, acts, or omissions of third-party services, and connecting them is at your own risk.

8. Intellectual property

The Service, including its software, design, and documentation, is owned by Qixeo and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your Shopify store during your subscription.

You retain all rights to your own content — your company details, templates, logos, order and customer data, and the invoices you generate. You grant us the limited right to process that content solely to provide the Service.

9. No tax, legal, or accounting advice

Qixeo Invoice is a document-generation tool. It does not provide tax, legal, accounting, or financial advice, and its output does not constitute such advice. Tax calculations, VAT treatment, e-invoicing formats, and reconciliation are provided as automated conveniences based on the data and settings you supply. You are solely responsible for verifying that invoices and related documents meet the legal and tax requirements applicable to your business. Consult a qualified professional where appropriate.

10. Warranty disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that invoices or calculations will be free from defects or suitable for any particular regulatory regime.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QIXEO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR TAX PENALTIES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. IN NO EVENT WILL QIXEO’S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Qixeo and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of a third party (including your customers).

13. Term and termination

14. Governing law and disputes

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service will be the state and federal courts located in San Diego County, California, and you consent to their personal jurisdiction, except where prohibited by applicable law.

15. Changes to these terms

We may update these Terms from time to time; the “Last updated” date at the top reflects the current version. For material changes we will make reasonable efforts to notify active merchants by email. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
